Radio Shack sells an inexpensive speaker cover fabric that is black. You don't necessarily have to use their cloth, just one that is porous enough.
You probably will have to remove the existing speakers, the panel that the speakers mount on, and then the fabric is usually mounted to that panel. Treat the speakers gently and they should be fine to be unscrewed from the panel and then reattached after the you're finished with the new cloth.

As far as painting over the wood, just remember you will need to sand the existing wood a bunch, to get rid of the sheen, so the paint will adhere properly. I think an oil based paint would be best, but i'm not a paint expert. Ask one of the guys at the paint store, they should be able to advise you. And again....sand it A LOT ! Good luck and have fun on your project.
